Terms of Use
Important: This End-User License Agreement ("EULA") is between you and NextApp — not Apple, Inc. Apple is not a party to this EULA and has no responsibility for the App or its content.
These Terms of Use ("Terms") constitute a legally binding End-User License Agreement ("EULA") between you ("User") and NextApp ("we", "our", or "us"), the developer of the Clipper application ("App"). By downloading, installing, or using Clipper, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Clipper on Apple-branded devices that you own or control, solely for your personal, non-commercial purposes, as permitted by the Apple App Store Terms of Service.
This license does not include the right to: sublicense, sell, resell, transfer, assign, or commercially exploit the App; reverse-engineer, decompile, or disassemble the App; use the App to build a competing product or service; or remove any proprietary notices or labels.
2. Account Registration
To access sync and cross-platform features, you must create an account using Sign in with Apple or a valid email address. You are responsible for maintaining the confidentiality of your PIN and credentials, and for all activity that occurs under your account. Notify us immediately at hswillg@gmail.com if you suspect unauthorized access.
3. Subscriptions and Purchases
- Free Plan: Core clipboard history and snippet features are available at no charge, subject to usage limits.
- Pro Subscription: Unlocks unlimited history, multi-device sync, and additional features. Billed on a recurring basis (monthly or annual) as displayed at the time of purchase.
- Lifetime License: A one-time purchase granting perpetual access to Pro features as they exist at the time of purchase, plus future updates at our discretion.
All purchases are processed through the Apple App Store and are subject to Apple's payment terms. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You may manage or cancel subscriptions in your Apple ID account settings. We do not issue refunds outside of Apple's refund policy.
4. Acceptable Use
You agree not to use Clipper to:
- Store, transmit, or process data you do not have the right to use
- Violate any applicable law or regulation
- Attempt to gain unauthorized access to our servers or other users' data
- Interfere with the integrity or performance of the service
- Use the App for any commercial purpose not expressly permitted
- Exploit the App in any manner that circumvents subscription requirements
We reserve the right to suspend or terminate accounts that violate these Terms.
5. Encryption and Security Responsibility
Clipper's end-to-end encryption relies on your PIN and email to derive your encryption keys. If you forget your PIN, we cannot recover your encrypted data. You are solely responsible for remembering your PIN and keeping your account credentials secure. We strongly recommend using a PIN you can reliably recall.
6. Maintenance and Support
NextApp is solely responsible for providing maintenance and support services for Clipper, as required under applicable law and as described in these Terms. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to Clipper.

7. Intellectual Property
Clipper, including its design, code, trademarks, and content, is owned by NextApp and protected by copyright and intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property rights to you.
8. Third-Party Intellectual Property Claims
In the event of any third-party claim that Clipper or your possession and use of Clipper infringes a third party's intellectual property rights, NextApp (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim. You agree to notify us promptly of any such claim at hswillg@gmail.com.
9. Third-Party Services
Clipper integrates with Apple's Sign in with Apple and iOS system frameworks. Your use of those services is subject to Apple's terms and policies. We are not responsible for the availability or conduct of any third-party service.
When using Clipper, you agree not to violate any applicable third-party terms of service, including agreements with your mobile network provider. You may incur data charges from your provider when using features that require an internet connection.
10. Product Claims
NextApp, not Apple, is responsible for addressing any claims by you or any third party relating to Clipper or your possession and/or use of Clipper, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
11. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, APPLE PROVIDES NO WARRANTIES WITH RESPECT TO CLIPPER.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NextApp BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $10, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless NextApp and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the App, your violation of these Terms, or your violation of any third-party rights.
14. Termination
We may suspend or terminate your access to Clipper at any time for violation of these Terms, with or without notice. You may terminate your account at any time by selecting Delete Account in Settings; this will permanently erase all your encrypted data from our servers.
Sections 7, 11, 12, 13, and 16 survive termination of these Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved informally by contacting us. If informal resolution fails, disputes shall be resolved by binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access claims.
16. Apple as Third-Party Beneficiary
You acknowledge and agree that Apple, Inc. and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
These Terms are solely between you and NextApp. Apple is not a party to these Terms, and Apple has no responsibility for Clipper or its content. Apple has no obligation whatsoever to provide any maintenance or support services with respect to Clipper. For the avoidance of doubt, NextApp is solely responsible for all matters relating to Clipper, including compliance with applicable laws and regulations.
17. Changes to These Terms
We may revise these Terms at any time. We will update the "Last updated" date and, for material changes, provide in-app notice. Your continued use of Clipper after changes become effective constitutes acceptance of the revised Terms.
